Terms of Service
1. Acceptance of Terms
By accessing or using the SkillClassics platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and SkillClassics DAO LLC, a Wyoming decentralized autonomous organization formed under W.S. 17-31-101 et seq. ("we," "us," "our," "SkillClassics"). The Platform technology is developed and licensed by Oh-Kay Labs.
2. Eligibility
You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that:
- You are at least 18 years old or the legal age of majority in your jurisdiction.
- You are not located in a jurisdiction where skill-based contests are prohibited.
- You are not located in or a resident of any restricted jurisdiction listed below.
- You have the legal capacity to enter into a binding agreement.
- Your use of the Platform does not violate any applicable law or regulation.
Restricted Jurisdictions: The Platform is not available to, and must not be used by, individuals located in the following jurisdictions:
- OFAC-sanctioned countries and regions: North Korea, Iran, Cuba, Syria, and the Crimea, Sevastopol, Donetsk, and Luhansk regions of Ukraine.
- Russia and Belarus.
- Georgia, where the Platform's technology provider is established.
- Any jurisdiction where skill-based contests with cryptocurrency entry fees are prohibited by applicable law.
U.S. states — contests with an entry fee: Free games and test-network games are available to players in every U.S. state. Contests with an entry fee are not available to players located in Arizona, Arkansas, Connecticut, Delaware, Florida, Illinois, Indiana, Iowa, Kentucky, Louisiana, Maine, Maryland, Missouri, Montana, Nevada, New York, Ohio, South Carolina, South Dakota, Tennessee, Vermont, or Washington.
We enforce these restrictions by geolocation at the network level, and connections from Tor exit nodes are blocked. Attempting to circumvent these controls is a breach of these Terms. This list may change; the restrictions in force at any time are those applied by the Platform.
It is your responsibility to determine whether your use of the Platform is legal in your jurisdiction. We do not provide legal advice regarding the legality of skill-based contests in any jurisdiction.
3. Account & Wallet Responsibility
Your account is tied to your blockchain wallet address or social login credentials. You are solely responsible for:
- Maintaining the security of your wallet private keys and login credentials.
- All activity that occurs under your account.
- Any losses resulting from unauthorized access to your wallet or account.
We do not have access to your private keys and cannot recover lost wallets. For social login players, you may export your embedded wallet signer key from your Settings page.
4. Platform Services
SkillClassics provides a platform for skill-based competitive gaming with blockchain-powered escrow settlement. Our services include:
- Contest Facilitation: Facilitating head-to-head skill contests and multi-player tournaments in competitive games (Chess, Backgammon, Gin Rummy, Go).
- Smart Contract Escrow: Entry fees are deposited to security-reviewed smart contracts that hold funds during contests and distribute prizes automatically.
- Game Engine Validation: All moves are validated server-side by the platform's own game engines.
- Fair Randomness: For games requiring randomness, we use a cryptographic commitment scheme.
We are a contest organizer and facilitator. SkillClassics organizes skill-based competitions with entry fees and distributes prizes to winners based on game outcomes. Entry fees are held by the escrow smart contract, not in a SkillClassics account, until the prize or refund is claimed; an amount left unclaimed for 30 days can be recovered to the platform treasury (see section 7).
5. Fees & Payments
SkillClassics charges a service fee included in each contest entry fee. The rate is set by the entry amount and calculated on-chain by the FeeManager contract. While the platform is in beta, entry fees are capped at $5 pending an independent third-party audit, so the rates that apply today are:
- Entries from $0.50 up to $4.99: 8% service fee
- Entries of $5 (the current maximum): 6% service fee
- Entries paid in the chain's native coin (BNB): a flat 5% service fee, regardless of amount
The published schedule also includes lower rates for larger entries — 5% for entries of $20 or more and 2.5% for entries of $100 or more. Those tiers are not available while the cap is in place and take effect only if the cap is raised after the audit.
The service fee is deducted from each player's entry before the prize pool is funded. All players contribute equally. For example, in a $4 entry head-to-head contest at the 8% rate, $3.68 per player goes to the prize pool and the winner receives $7.36.
Because contests settle on-chain, every match must produce a decisive result. Where a game reaches a drawn position — for example stalemate, insufficient material or the seventy-five-move rule — the winner is determined by the published tiebreak procedure set out on our Game Rules page, and the prize pool is paid to that player. The service fee applies as normal. Entry fees are refunded in full only where a match is cancelled or never starts.
Tournament entry fees use the same schedule, set by the entry amount rather than by player count. See our Smart Contracts page for the deployed contract addresses. All fee calculations are transparent and verifiable on-chain.
6. Prohibited Conduct
You agree not to:
- Use chess engines, bots, or any form of computer assistance during games.
- Engage in collusion with other players to manipulate game outcomes.
- Operate multiple accounts to gain unfair advantages.
- Exploit bugs, vulnerabilities, or errors in the Platform or smart contracts.
- Attempt to reverse-engineer, decompile, or interfere with Platform operations.
- Use the Platform for money laundering or any illegal financial activity.
- Harass, abuse, or threaten other players in chat or forum communications.
Violation of these rules may result in immediate account suspension and forfeiture of active contest funds.
7. Smart Contract Risks
By using the Platform, you acknowledge and accept the following blockchain-specific risks:
- Finality: Blockchain transactions are irreversible. Once a transaction is confirmed, it cannot be undone.
- Gas Costs: You are responsible for all gas fees incurred when interacting with smart contracts.
- Withdrawals: We never charge a fee to withdraw. Claiming your entry fee, refund, or prize costs only the blockchain's own network fee (gas) — nothing more. There is no minimum withdrawal, no conversion, and no spread.
- Claim within 30 days: A prize or refund left unclaimed for 30 days after a match or tournament settles becomes eligible for recovery to the platform treasury, under the 30-day settlement deadline written into the deployed escrow contract. This exists so that funds sent to a wallet that can never receive them are not lost forever, but the clock runs the same way whether or not that is the reason. Do not sit on a claim.
- Network Congestion: During periods of high network activity, transactions may be delayed or may require higher gas fees.
- Smart Contract Risk: Our contracts are continuously security-reviewed, but no review can guarantee the absence of all vulnerabilities, and an independent third-party audit has not yet been completed.
- Token Value: The value of cryptocurrency tokens may fluctuate. We are not responsible for changes in token value.
THE PLATFORM IS IN BETA. ENTRY FEES ON BNB CHAIN ARE REAL AND MAY BE LOST IN FULL. Play on Ethereum Sepolia and BSC Testnet uses test tokens that have no monetary value. Smart contracts, while security-reviewed, are experimental software deployed on public blockchains and have not yet undergone an independent third-party audit. Entry fees are capped at the micro tier during beta for this reason. By depositing digital assets into Platform smart contracts, you acknowledge and accept the risk of partial or total loss of those assets due to software defects, exploits, blockchain reorganizations, oracle failures, or unforeseen interactions between contracts. SkillClassics does not custody your funds at any point — all deposits are held exclusively by immutable smart contracts. SkillClassics cannot reverse, modify, or intervene in smart contract transactions once executed.
8. Intellectual Property
The Platform technology, including its design, code, and underlying software, is owned by Oh-Kay Labs and licensed to SkillClassics DAO LLC. The SkillClassics brand, logos, graphics, and content are owned by SkillClassics DAO LLC. All intellectual property is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without explicit written permission.
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE PLATFORM.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKILLCLASSICS DAO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF FUNDS, LOSS OF DATA, OR LOSS OF PROFITS. OUR TOTAL LIABILITY FOR ANY SINGLE INCIDENT SHALL NOT EXCEED THE SERVICE FEE COLLECTED BY THE PLATFORM FOR THE SPECIFIC CONTEST IN WHICH THE LOSS OCCURRED. IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE TOTAL SERVICE FEES YOU HAVE PAID IN THE PRECEDING 12 MONTHS.
11. Dispute Resolution
In-Game Disputes: In-game disputes (e.g., disconnections, timeouts, alleged cheating) are handled by our admin team. You may file a dispute by contacting support with your match ID and a description of the issue.
Informal Resolution: For any legal dispute arising from these Terms or your use of the Platform, the parties agree to first attempt resolution through good-faith negotiation for a period of thirty (30) days after written notice of the dispute.
Binding Arbitration: If informal resolution fails, all disputes shall be resolved by binding arbitration administered by the International Chamber of Commerce (ICC) under its Arbitration Rules. The arbitration shall be conducted in English, with the seat of arbitration in Cheyenne, Wyoming, USA. The arbitrator's decision shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.
Exceptions: Either party may seek injunctive relief in a court of competent jurisdiction for claims involving intellectual property infringement or unauthorized access to the Platform.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. The Platform is operated by SkillClassics DAO LLC, a Wyoming DAO LLC formed under the Wyoming Decentralized Autonomous Organization Supplement (W.S. 17-31-101 et seq.), using technology developed and licensed by Oh-Kay Labs.
You acknowledge that SkillClassics DAO LLC operates as a decentralized autonomous organization and that certain governance functions may be executed via smart contracts, which are recognized as valid operating agreements under Wyoming law.
13. Indemnification
You agree to indemnify, defend, and hold harmless SkillClassics DAO LLC, Oh-Kay Labs, and their officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of or inability to use the Platform.
- Your violation of these Terms or any applicable law or regulation.
- Your violation of any rights of a third party.
- Any content you submit, post, or transmit through the Platform.
- Your use of the Platform in a restricted jurisdiction.
14. Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND SKILLCLASSICS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and SkillClassics agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
15. Force Majeure
We shall not be liable for any delay or failure to perform our obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including but not limited to:
- Blockchain network congestion, forks, or outages.
- Oracle service downtime or data feed interruptions.
- Smart contract vulnerabilities discovered after deployment.
- Regulatory changes affecting cryptocurrency or skill-based gaming.
- Acts of God, natural disasters, pandemics, war, terrorism, or civil unrest.
- Internet or telecommunications infrastructure failures.
- Government actions, sanctions, or embargoes.
16. Tax Obligations
Players are solely responsible for determining and paying all applicable taxes on winnings obtained through the Platform. SkillClassics does not provide tax advice, does not withhold taxes on behalf of players, and does not issue tax reporting forms (e.g., IRS Form 1099). You should consult a qualified tax professional regarding your obligations.
17. Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Platform after changes constitutes acceptance of the new Terms. We will make reasonable efforts to notify players of material changes via the Platform's notification system.
18. Referral Program (pilot)
We are piloting a referral program. Players may share a personal referral link. When a new player joins the Platform through your link and later pays entry fees, a referral credit accrues to you equal to 20% of that player's share of the service fee, for 90 days from their first paid contest.
Credits are shown as pending. They accrue against service fees that are still held in escrow and are not claimable until we open referral earnings for claiming. We may pause or end the program, or change its terms, at any time.
No credit accrues for your own accounts, for accounts we determine to be controlled by the same person, or for contests that are held or voided for integrity reasons. Credits obtained through abuse of the program may be cancelled. A minimum balance (the equivalent of USD 5) applies before referral earnings can be claimed.
